You agree that Resilutions and/or its licensors own all rights, title and interest in and to the Services (including any and all intellectual property rights therein) and you agree not to take any action(s) inconsistent with such ownership interests. We and our licensors reserve all rights in connection with the Services and its content, including, without limitation, the exclusive right to create derivative works.
Subject to your compliance with these Terms, Resilutions hereby grants to you, a personal, worldwide, royalty-free, non-assignable, non-transferrable, non-sublicensable, and non-exclusive license to use the software provided to you as part of the Services. This license has the sole purpose of enabling you to use and benefit from the Services as provided by us, in the manner permitted by these Terms and subject to the use restrictions described below.

LIMITATION OF LIABILITY

In no case shall Resilutions, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such jurisdictions, our liability shall be limited to the maximum extent permitted by law.The Resilutions total liability to you for any damages finally awarded shall not exceed the amount of ten US dollars($10.00), or the amount you paid to Resilutions if any in the past six (6) months for the Services giving rise to the claim. The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.
   
SECTION 13 - INDEMNIFICATION    
You agree to indemnify, defend and hold harmless Resilutions and our subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand,costs,damages,losses,liabilities and expenses including attorneys’ fees & costs, made by any third-party due to or arising out of your breach of these Terms of Use or the documents they incorporate by reference, or your violation of any law or the rights of a third-party or your negligence or wilful misconduct.
   
SECTION 14 - SEVERABILITY    
In the event that any provision of these Terms of Use is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

• You agree that a breach of these Terms will cause irreparable injury to Resilutions for which monetary damages would not be an adequate remedy and Resilutions shall be entitled to equitable relief in addition to any remedies it may have hereunder or at law without a bond, other security or proof of damages

If you are a California resident, in accordance with Cal. Civ. SECTION 18- Export Laws

In particular, but without limitation, the Services may not be exported or re-exported (a) into any U.S. embargoed countries or any country that has been designated by the U.S. Government as a “terrorist supporting” country, or (b) to anyone listed on any U.S. Government list of prohibited or restricted parties, including the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Department of Commerce Denied Person’s List or Entity List. By using the Services, you represent and warrant that you are not located in any such country or on any such list.
